Public offer for online service access

This document constitutes a public offer in accordance with Articles 633, 641 and 642 of the Civil Code of Ukraine and an offer to conclude an agreement on the provision of access to the online service on the terms set out below.

Any person who has accepted this offer is deemed to have read and agreed to its terms in full without any reservations.

1. Definitions

Service — a software online service for processing license plate recognition events, managing access lists, passes, monitoring, event logs, notifications and integrations.

User — an individual, sole proprietor or legal entity that has accepted this offer.

Account — the set of data used to identify the user in the service.

Subscription — a paid period of access to the service under the terms of the selected plan.

2. Subject of the Agreement

The Provider grants the User a limited, non-exclusive, non-transferable and revocable right to access the service via the Internet within the functionality and limits of the selected plan, and the User pays for such access if the plan is paid.

The service may use recognition results obtained from cameras or other devices, including edge or on-board processing, and display them in the user's dashboard.

3. Conclusion of the Agreement (Acceptance)

Acceptance of this offer shall be deemed to occur upon any of the following actions:

The agreement is deemed concluded in electronic form from the moment of acceptance.

4. Functionality and Plans

The list of features, scope of access, limits, number of cameras, number of users, integrations, data storage volume, access periods and pricing are determined by the plans published on the website, in the personal dashboard or in an individual commercial proposal.

The Provider has the right to update plans, features and limits. For an already paid access period, changes apply from the next billing period, unless otherwise expressly agreed by the parties.

5. Payment and Subscription

Payment is made in the currency specified when placing the order, through available payment instruments or on the basis of an issued invoice.

If the plan provides for a recurring subscription, the User agrees to regular charge deductions in the respective billing cycle until the subscription is cancelled.

Cancellation of the subscription stops future charges but does not void the already paid period, except in cases expressly provided for by this agreement or mandatory provisions of applicable law.

8. Intellectual Property

All intellectual property rights in the service, its code, design, databases, logic, documentation, trademarks, texts, interface structure and other elements belong to the Provider or its right holders.

No intellectual property rights are transferred to the User, except for the expressly stated right to use the service during the term of the agreement.

9. Data, Personal Data and Compliance

The Provider processes personal data in accordance with the legislation of Ukraine, and where EU law applies to the processing, also in accordance with Regulation (EU) 2016/679 (GDPR).

Depending on the service usage scenario, the Provider may act as a separate data owner/controller with respect to account and payment data, and as a processor on behalf of the User with respect to data that the User uploads or transmits to the service for their own purposes, if this follows from the actual processing model.

The User confirms that they are solely responsible for having the proper legal basis for the use of cameras, license plate reading, placement of information notices on the premises, determination of data retention periods and fulfilment of obligations towards data subjects, unless otherwise expressly assumed by the Provider in a written agreement.

Detailed data processing rules are set out in the Privacy Policy, which forms an integral part of this agreement.

10. Service Availability and Technical Support

The Provider uses reasonable efforts to ensure the operability of the service but does not guarantee its complete continuity and faultlessness. Interruptions may occur due to updates, emergencies, actions of telecommunications providers, power outages, cyberattacks, force majeure or technical peculiarities of third-party equipment.

If a specific service level, SLA or guaranteed response time is required by the User, these shall be agreed in a separate written document or in a commercial proposal.

11. Specifics of Recognition Results

The service may use machine learning, computer vision and automatic recognition technologies, and therefore the results are probabilistic in nature. The Provider does not guarantee 100% recognition accuracy under any operating conditions.

The quality of results may be affected by viewing angle, lighting, weather conditions, video stream quality, camera parameters, license plate soiling, vehicle speed, network configuration and other factors beyond the Provider's direct control.

The User must not rely solely on the service's automatic decision in cases where additional human verification is required or where the law so requires.

12. Liability of the Parties

The parties are liable in accordance with applicable law and this offer.

To the maximum extent permitted by law, the Provider shall not be liable for:

The Provider's aggregate liability for any claim related to the agreement is limited to the amount actually paid by the User for the last calendar month of service use, unless mandatory legal provisions require otherwise.

13. Refunds

The procedure for cancellation of subscription and refunds is governed by the separate Refund Policy, which forms an integral part of this offer.

14. Term and Termination

The agreement is effective from the moment of acceptance until access is terminated, the account is deleted, the paid period ends or the agreement is terminated on grounds provided for by the agreement or law.

The Provider may terminate or restrict access immediately in case of material breach of the agreement, unlawful use of the service, sanctions restrictions or threat to the security of the service or other users.

15. Force Majeure

The parties are released from liability for non-performance or improper performance of obligations for the duration of force majeure circumstances that arose beyond their reasonable control.

16. Applicable Law and Disputes

The law of Ukraine applies to this agreement, unless otherwise follows from mandatory provisions of the consumer's country or other mandatory regulation that must be applied.

Disputes shall be resolved through negotiations. If no agreement is reached, the dispute shall be submitted to a competent court in accordance with the rules of jurisdiction and applicable law.

17. Amendments to the Offer

The Provider has the right to amend this offer. A new version takes effect from the moment of its publication on the website, unless a different date is specified.
